wipro demerger plan options.
Shareholders of Wipro have given their nod for the company’s demerger plan.
In a statement published on the company’s Web site, Wipro said, “We write to inform the stock exchanges that the shareholders at the court convened meeting held on December 28 have approved the scheme of arrangement between Wipro Ltd, Azim Premji Custodial Services Private Ltd and Wipro Trademarks Holding Ltd.”
Earlier this month, the Karnataka High Court had issued a directive to Wipro Ltd to get a go-ahead from shareholders to transfer its non-core businesses to Azim Premji Custodial Services.
During the second quarter results in November, Wipro had announced its intentions to hive off its non-IT businesses into a separate unlisted company so that it could focus on information technology business.
About 393 shareholders were present at the extraordinary general meeting, including 18 from promoters and promoter groups, according to a Wipro statement.
The new company, Wipro Enterprises, will include Wipro Consumer Care & Lighting, including the furniture business, Wipro Infrastructure Engineering and the medical diagnostic product and services business, which is its joint venture with GE.
Wipro promoter Azim Premji will remain the Executive Chairman of Wipro and will be the non-executive Chairman in the new entity.
THREE OPTIONS
According to the demerger plan, Wipro shareholders have three options. They can receive one equity share with face value of Rs 10 in Wipro Enterprises for every five equity shares of Rs 2 each in Wipro that they hold; or receive one 7 per cent redeemable preference share in Wipro Enterprises with face value of Rs 50 for every five equity shares of Wipro that they hold; or exchange the equity shares of Wipro Enterprises and receive as consideration equity shares of Wipro held by the promoter. The exchange ratio will be one equity share in Wipro for every 1.65 equity shares in Wipro Enterprises.
Wipro founder and promoter Azim Premji along with his promoter group companies hold 78.31 per cent in the company as of September, according to BSE data.
According to SEBI mandates, Wipro promoter Azim Premji has to reduce promoter stake in the company to 75 per cent by June 2013.
Details on whether the demerged entity will be listed were unavailable as a Wipro spokesperson did not respond to calls.

Courier locker!
E-commerce outfits are dispatching more. But courier firms face a problem: Delivering the consignments as most often homes are locked. Many of these courier firms such as DTDC and Blue Dart are looking at locker services.
To be located in different locations in a city, people can collect their parcels from these locker complexes. This concept is popular in the US and some European markets.
DHL has launched electronic locker services in some developed markets where people can use an electronic code to retrieve thier shipment.
Increasing online shopping activity has made e-commerce one of the fastest growing segments for courier firms. But more families are going nuclear with both partners working. Repeat trips raise the cost of delivery.
DTDC, the Rs 419-crore firm, may start a locker service in a year or so. Abhishek Chakraborty, Executive Director, DTDC, told Business Line that the company is evaluating an option.
“With 6,000 outlets in the country, we are in an advantageous position to let customers have an option to come and pick up their parcels from our franchisees. We would like to start such a service towards end of 2013 or beginning of 2014,” Chakraborty said.
Blue Dart, the Rs 1,500-crore firm in which DHL has a 75 per cent stake, has weighed such an option and feels it is just a matter of time before such services start in India.
Blue Dart, whose parent company DHL has automated drop boxes globally, has implemented a concept on such lines for its smaller business customers through vehicles.
“We do have a service for small customers through vehicles. The vehicles go and park in an area and small and medium enterprise customers can pick and drop cargo,” said Blue Dart’s Managing Director Anil Khanna. Khanna, who has evaluated the concept of automated boxes in India, said there are complexities such as land ownership and potential misuse of the boxes. Yet, he thinks it is only a matter of time before these services are launched.
Meanwhile, to get over the problem of locked homes, other steps that courier firms are implementing include sending a text alert or making an advance phone call.

Karur Vysya Bank open to acquisition, if it’s a right fit
Old generation lender Karur Vysya Bank (KVB) is open to acquiring a bank if an opportunity comes its way, said a top bank official.
K. Venkataraman, MD & CEO, KVB, gave this reply to a specific question on whether his bank would throw its hat into the ring to acquire one of the two distressed South-based old generation private sector banks (one headquartered in Tamil Nadu and the other in Kerala).
He, however, said the 96-year old Karur (Tamil Nadu) headquartered bank is not actively pursuing an acquisition at this point in time.
NOT A TARGET
On the possibility of KVB becoming an acquisition target once the Reserve Bank of India issues licenses for setting up new private sector banks, Venkataraman said: “We don’t want to be an acquisition target… Moreover, beyond 5 per cent shareholding Reserve Bank of India's permission is required… The RBI does not encourage unfriendly acquisitions.” The KVB chief said his bank is eyeing a business size (deposits plus advances) of Rs 1.25 lakh crore by 2016. Its current business size is Rs 61,000 crore (deposits Rs 35,000 crore and loans Rs 26,000 crore).
Pointing out that the bank is handholding corporate clients which are facing tough times, Venkataraman explained that if the umbrella is taken away when the client needs it the most, it will only end up hurting the bank.
“We will not hesitate in restructuring a loan account,” he added. About 2.7 per cent of the bank’s total loans have been restructured so far.
CAPITAL ADEQUACY
KVB has turned cautious in lending to corporates because of asset quality concerns.
This is reflected in the fact that year-on-year credit growth has slowed to 25 per cent in the current financial year so far against 34 per cent in the year-ago period.
“We will not grow our loan book blindly….There will be no compromise just for the sake of numbers. The safety of depositors’ money is of paramount importance,” said Venkataraman.
If it grows its loan book at an annual rate of 25 per cent, maintains the quantum of yearly capital plough-back and dividend payout, then the bank, which currently has a capital adequacy ratio of 14 per cent, will not need capital infusion till FY2014-15.
KVB stock hit a new high of Rs 555.70 per share on the BSE and NSE .

Kamal Haasan’s Vishwaroopam’s Telugu and Hindi versions -released in DTH service.
Kamal Haasan’s Vishwaroopam’s Telugu and Hindi versions ( Vishwaroop) too are going to be premiered on the direct-to-home platform. Earlier it was decided to premiere only the movie's Tamil version.
According to industry sources, while the charge for Tamil version is Rs 1,000, for other languages it has been fixed at Rs 500.
In addition to the four DTH players — Airtel, Dish, Videocon and Reliance Digital – industry sources say Kamal Haasan has signed with Sun Direct too. Sun Direct, part of the Sun TV group, has close to 60 per cent of the total DTH connections in the State. According to industry estimates, there are over 4.5 million DTH homes in the State.
Tata Sky too is pretty much interested in taking the film on board. “We are in talks, and will surely bag the rights,” Harit Nagpal, Managing Director of Tata Sky told Business Line. If this works out, the initiative, the first of its kind in India will enable all DTH homes in the State to watch the movie. If we count in its Telugu and Hindi versions, and the resultant expanded reach, the number could be many times higher than this.
The Tamil Nadu Theatre Owners Federation and Distributors Association is protesting this initiative saying it will affect theatre revenues. Commenting on this development, Abirami Ramanathan, President of the Tamil Nadu Theatre Owners Federation, told Business Line that the two bodies will meet in Coimbatore on December 26 to discuss these developments, which will followed by another meeting in Chennai on December 28 to take a final call on this.
Airtel Digital has announced that it has started accepting bookings for the movie in all the three languages. Nationally, it has 7.5 million subscribers. To book the movie, Airtel DTH subscribers can SMS VISHWA from their Registered Telephone Number to 54325 and an Airtel DTH customer care representative will call back to complete the advance booking formalities.
It has also been announced that the DTH player will accept bookings for the Tamil version for a charge of Rs 1,200, and the Telugu and Hindi versions for Rs 500. However, pre-bookings of the Tamil version will be available until January 8, for a charge of Rs 1,000.
So, as its stands now, the movie would release in theatres on January 11, 2013, it will be premiered on DTH’s Pay Per View at 9:30 p.m. on January 10 in Tamil, Telugu and Hindi.
Omega Healthcare.
Healthcare services firm Omega Healthcare is on an expansion mode.
The company has centres in Chennai and Bangalore, employing over 4,000 people. It also has a sales office in Florida, US.
Omega is now setting up another centre in Tiruchi, besides looking at centres in Bangalore and the Philippines.
Omega Healthcare is an offshore provider of medical coding, billing and insurance claims processing services to physicians and hospitals in the US.
This is how it works: Doctors and hospitals send bills and documents related to the treatment to Omega (through intermediaries). Omega then codes the paperwork to generate a claim to insurance companies. The company also follows up on payments from insurance companies and dues from patients, if any.
Its Tiruchi facility will start operations in January. Apart from being cost effective, Tiruchi has good talent and access to educational institutions, said Gopi Natarajan, CEO.
But with power being an issue in Tamil Nadu, Omega is looking at another centre in Bangalore.
Between Chennai, Tiruchi and Bangalore, Omega hopes to add 3,000 jobs next year.
Omega is also considering setting up a centre in Philippines for voice-based work “as the accent and culture is akin to that in America. Since this voice involves making calls to patients to settle any dues to hospitals, it must be done with tact and sensitivity,” said Natarajan.
It is bullish about the US healthcare reforms, which has given a push to healthcare spending in the country.
Omega Healthcare was set up in 2003 with an investment of $3 million. Later, Manipal Enterprises and a based company came on board as financial partners, before their stake was bought out by the founders of Omega in 2006. Omega then brought in American firm HealthEdge which funded close to $12 million. Enam Securities is also a minority stakeholder in the firm. HealthEdge has been with Omega since 2006 and is looking to exit. “We will go to market next year again,” says Natarajan.

Chief Minister Jayalalithaa has announced a hike in the reimbursement of tuition fees and special fees under the higher education assistance scheme to help students of backward classes, most backward classes and denotified communities studying in government and government aided schools.
The government has also directed reimbursement of entire fees for those enrolled for professional courses in government colleges under the government quota through the single window system.
The directive, benefitting 74,181 students, would cost the exchequer Rs.16.54 crore.
An official release issued on Sunday said the government was reimbursing special fees, tuition fees and book fees at a fixed rate under the higher education assistance scheme, besides examination fees in full.
The reimbursement under the education assistance scheme was announced in 1980 and thereafter there was no upward revision, even though educational institutions had increased their fees. The Chief Minister issued fresh orders to avoid school drop outs.
The release also said in future, the departments, under which the colleges concerned fell, would bear any upward revision in fee without waiting for the government orders.
For improving the performance of students in public examinations, the Chief Minister directed issue of special guides to students free of cost in eight backward districts – Perambalur, Sivaganga, Tiruvannamalai, Villupuram, Dharmapuri, Krishnagiri and Cuddalore. The new directive would cost the exchequer Rs.2.47 crore and would benefit over 2.21 lakh students.
Currently, special guides were provided to students studying in 10th and 12th standards in Kallar Reclamation Schools in Madurai, Dindigul and Theni districts, the release said.

Education loan scheme a top priority for UPA: Chidambaram-Business line

Education loans are one of the highest priorities of the UPA government, which is committed to making it an even greater success, Finance Minister P. Chidambaram has said. The Government is also confident of achieving the target of allocating 15 per cent of all bank loans to minorities, Chidambaram told Lok Sabha during question hour. Chidambaram reeled out statistics to show how education loans have been a success. In a span of three years, the banking system’s education loan portfolio has grown to Rs 52,480 crore. As many as 24.62 lakh accounts have been opened so far towards education loans. On loans to minorities, Chidambaram said that banks have already achieved a level of 14.8 percent and that it should be easy to achieve the 15 per cent target.

PC Jeweller-IPO
PC Jeweller Ltd has launched its initial public offering worth about Rs 600 crore at a price band of Rs 125-135 a share. The IPO will open on December 10, and will close on December 12, for all bidders.
DISCOUNT TO RETAIL INVESTORS
The company is offering a discount of Rs 5 to retail individuals.
The Delhi-based jeweller has offered close to 4.5 crore shares and plans to raise anywhere between Rs 564 crore (at the lower end of the price band) and Rs 609 crore (at the upper end of the price band).
The company proposes to utilise the IPO funds for its expansion plans and towards working capital requirements.
Through this IPO, the company plans to dilute about 25 per cent of its stake. Of the 4.5 crore shares on offer, about 3.5 lakh shares have been reserved for eligible employees. Bids to be made are for a minimum of 90 equity shares and in multiples of 90 equity shares thereafter.
The issue is proposed to be listed on the BSE and the NSE.
The book running lead managers to the issue are SBI Capital Markets and Kotak Mahindra Capital Company and the co—book running lead manager is IDBI Capital Market Services.

CARE-IPO-RATING AGENCY
The Credit Analysis and Research Ltd has fixed the price band of its initial public offering at Rs 700-750 a share. The rating agency firm will raise Rs 503 crore at the lower end of the price band and Rs 539 crore at the upper band.
None of the proceeds of the offer will be utilised by CARE, all the proceeds will go to the selling shareholders.
CARE’s major shareholders include IDBI Bank (26 per cent), Canara Bank (23 per cent) and SBI (9 per cent).
The issue opens on December 7 and closes on December 11.
The public offer consists of 71.99 lakh shares (of face value Rs 10) through an offer-for-sale by selling shareholders. There will be no fresh issue of shares.
The offer will constitute 25.22 per cent of the post-offer paid-up equity share capital of the company. The ratings agency said that it may look at making acquisitions in the research sector. SOLAR POWERS IN INDIA;

Thiruvannamalai Girivalam.
Arunachaleswarar temple has six prakarams around the temple. Every full moon day of the month Girivalam is undertaken by the pilgrims. Lakhs of devotees participate every month in this healthy ritual. This word Girivalam is the origin of the tamil word giri meaning hill and valam means coming around. Hence coming around the hill is called as Girivalam in Tamil.
To come one full round (Girivalam) the road round the hill, it is around 14 kilometres. And people both young and old religiously go round on the full moon day. It is said to bring in abundant peace or calmness for the mental well being and also refreshing for the physical fitness.
This abode of Arunachaleswarar, the Annamalai hills at Tiruvannamalai has varied interpretations over the years. It is believed this hills took different forms at different period of time and age. During the Kirthayugam it was in the form of fire. The next Threthayugam it took the form of emerald, known as manikkam in Tamil. In the course of Dweparayugam it existed in the form of gold. Now in Kaliyuagam it has taken the state of rocky hill.
At Arunachaleswarar temple there are eight lingams known as Ashtalingam. They are positioned at different locations and facing various directions. Each lingam signifying different directions of the earth. These lingams are named as Indralingam, Agnilingam, Yamalingam, Niruthilingam, Varunalingam, Vayulingam, Kuberalingam and Esanyalingam.
Each lingam addresses different aspects of man’s life and they bless the devotees with different types of benefits. It is believed to be installed by various gods. Also these lingams have a dominant navagraha and praying to each lingam brings forth various benefits that is being bestowed by that navagraha on the devotees who prays to that particular lingam to achieve the desired results.
The first lingam on the Girivalam is the Indra lingam and this lingam has east as its cardinal direction. It is said to be installed by lord Indran the celestial king. The dominant navagraha of this lingam are the sun and sukiran. Worshipping this lingam blesses the devotees with long life coupled with prosperity in abundance.
The second lingam on the Girivalam is the Agni lingam. This faces the south east direction. The uniqueness of this lingam is that it is the only lingam that is placed on the right side of the path on which one goes Girivalam on the full moon night every month. Praying to this lingam helps one to keep away sickness and to maintain good health. The dominant navagraha of this lingam is Chandran. It also helps the ardent devotees to counter the problems that they come across in the life’s journey. This lingam is located near the lotus tank.
The third lingam on the Girivalam is the Yama lingam. This lingam signifies the south direction. It is said to be installed by the god of death Yama. The dominant graham of this lingam is Sevvai. It has a holy tank known as Simma theertham. Worshipping this Yama lingam relieves the devotees of their financial constraints.
The fourth lingam on the Girivalam is the Niruthi lingam. The cardinal direction is South East. The dominant graham of this lingam is the Ragu. This was installed by the king of the giants. This lingam also has a holy tank called as Sani theertha. Devotees worshipping this Niruthi lingam are freed of their problems.
The fifth lingam on the Girivalam is the Varuna lingam. This lingam signifies the west direction. This lingam is installed by the Varuna god who is the creator of rain on this earth. The dominant graham of this lingam is the Sani. There is a holy tank named as Varuna theertham. Devotees worshipping this lingam are protected from all critical illness. This Varunalingam also takes care to elevate their social development.
The sixth lingam on the Girivalam is the Vayu lingam. This lingam is placed facing the north west direction. Vayu lingam is installed by the god of air himself known as Vayu baghavan. The graham that is dominant is the Kedhu. Offering prayers to this Vayu lingam gives strength to fight all heart ailments, stomach problems, lung problems and general illness.
The seventh lingam on the Girivalam is the Kuperalingam. This faces the northern direction. The dominant graham is the Guru. And the Kuperan or the god of wealth has installed this lingam. Offering prayers to this lingam regularly helps the devotees to achieve prosperity.
The last lingam on the Girivalam is the Esanya lingam. And this lingam faces the north east direction. The god that installed this lingam is the Esanyan. The graham that dominates this lingam is the Budhan. Praying to this lingam gives peace of mind to devotees and develops a positive attitude in them to achieve success in all their pursuits.

Individual wealth to double in 4 years:Karvy report.
Total individual wealth in India is expected to nearly double to Rs 179 lakh crore by FY-16 from the current Rs 92.26 lakh crore. This wealth is expected to increase on account of existing wealth giving returns on investment and additional wealth invested from household savings, said the India Wealth Report by Karvy Private Wealth. Direct equity is expected to be the largest asset class followed by insurance and fixed deposits and bonds. In FY-12, Indian wealth in equities is 27.39 per cent, a decrease from 31.80 per cent in FY-11. Indian wealth in debt has increased to 72.35 per cent ( 67.86 per cent). However, alternate asset classes have shrunk by 17 per cent over the last year. Within this asset class, gold, real estate and private equity have grown significantly. India Wealth Report, however, expects alternate assets to grow more than 3 times by FY-17.
Households in the Ultra High Net Worth Individuals segments and mass affluent household segment account for 60 to 70 per cent of the entire wealth held by individuals.

07. HOW TO APPLY
a) Candidates are required to apply online through website www.kvb.co.in ( careers
page) . No other means/ mode of application will be accepted.
b) Candidates should ensure that their personal email ID (as specified in the online application
form while applying for CWE conducted in 2011) is to be kept active. Bank may send call
letters for interview to the registered e-mail ID.

08. General Instructions
(a) Before applying for the post, the candidate should ensure that he/she fulfils the eligibility
and other norms mentioned in this advertisement. Decision of the Bank in all matters
regarding eligibility of the candidate, the stages at which scrutiny of such eligibility is to be
undertaken, the documents to be produced for the purpose of the conduct of Personal
Interview, selection and any other matter relating to recruitment will be final and binding
on the candidate. No correspondence or personal enquiries shall be entertained by the
bank on this behalf.
(b) Mere invitation by the Bank for the Personal Interview shall not imply that the Bank has
been satisfied beyond doubt about the candidate’s eligibility. Candidates who do not
satisfy the eligibility criteria and who do not produce the photocopies as well as the
originals of all the documents required to be submitted and as advised in this notification
as well as in the Interview call letter, for any reason, whatsoever, shall not be permitted to
participate in the Personal Interview, even though they may have obtained the desired
level of score in the Written examination and have been called for interview.
(c) Mere eligibility will not vest any right on the candidates for being called for Interview.
Bank’s decision in the matter of selection will be final. In case it is detected at any stage of
recruitment that a candidate does not fulfill the eligibility norms and/or that he/she has
furnished any incorrect/false information/certificate/documents or has suppressed any
material fact(s), his/her candidature will stand cancelled. If any of these shortcomings
is/are detected even after appointment, his/her services are liable to be terminated.
(d) Eligible candidates will be called for Personal Interview and they should appear for
interview at their own expenses/cost at places / dates notified by the Bank.
(e) Candidates selected for appointment will be on probation for 6 months.
(f) Candidates are selected are liable to be placed in any place in India as per the
administrative requirements and discretion of the Bank.
(g) Appointment of selected candidates is subject to his/her being declared medically fit as
per the requirement of the Bank. Such appointment will also be subject to the Service &
Conduct Rules of the Bank.

Solar Powered ATM.
Now a days it is most important and useful one,during power cut period and also it is very useful for people who lives in remote areas where electric line was not installed so far.It plays key role in power saving thereby reducing cost for electric charges.
IndusInd Bank plans to triple the number of solar-powered ATMs in its network in the next two years, Romesh Sobti, Managing Director & Chief Executive Officer, has said.
Plans are afoot to increase the bank's overall ATM network strength to 1,500 ATMs in 2 years, of which at least one-fifth would be solar-powered, Sobti told Business Line on the sidelines of an event here.
Currently, IndusInd Bank has 750 ATMs, of which 100 are solar-powered.
"We are the only bank in the country to have solar powered ATMs. Every solar powered ATM is 20 per cent more expensive (than normal). Over 10 years, it is economically viable," he said.
He pointed out that corporate social responsibility has sustainability elements and saw solar powered ATMs as part of this effort.
Sobti was in the Capital for the launch of a unique platform "Treasures of Rajasthan", which is being brought to the Capital by the Maharaja Sawai Man Singh II Museum Trust.
IndusInd Bank is sponsoring the first edition of this exposition, which will showcase heritage and boutique travel destinations along with exquisite crafts of Rajasthan.

City Union Bank Ltd-rights issue.
City Union Bank Ltd (CUB) has announced a rights issue at one new share for every four equity shares held in the company at Rs 20 a share. The price includes a premium of Rs 19 a share.
The record date for the rights issue has been fixed as November 23.
According to a press release from the company, “for the first time in the industry”, the bank has reserved a portion of the issue for its employees.
3% RISE IN PROFIT
The bank has posted a 3.8 per cent growth in net profit at Rs 80.42 crore for the quarter ended September 30, 2012, against Rs 77.5 crore in the comparable quarter in the previous year.
Total income was at Rs 596 crore (Rs 460.24 crore).
Gross NPA (non-performing assets) stands at 1.24 per cent and net NPA at 0.60 per cent. Current capital adequacy ratio is at 13.26. Book value a share stands at Rs 34.14.
The bank’s shares closed the week on Friday at Rs 59.70 from the previous day’s close of Rs 58.75 on the BSE..
